Terms of Service

These Terms of Service constitute a legally binding agreement between you and APPORIA MOBILE LP, a limited partnership incorporated in England (Suite 6053, 128 Aldersgate Street, Barbican, London EC1A 4AE, England), referred to throughout as "Apporia Mobile," "Company," "we," or "us." These Terms apply to the website available at lovmia-chat.com (the "Website") and all related services offered through it (the "Services").

These Terms govern your access to and use of the Services. Please read them carefully, as they contain important information regarding your legal rights and obligations. By accessing or using the Services in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Services.

In these Terms, "you" and "your" refer to you as an individual user of the Services. If you are accessing the Services on behalf of a company or other legal entity, "you" also refers to that entity, and you confirm that: (a) you are duly authorised to represent and bind that entity; and (b) you accept these Terms on its behalf.

IMPORTANT NOTICE — ARBITRATION AND CLASS ACTION WAIVER: By agreeing to these Terms, you agree to resolve all disputes with us exclusively through binding individual arbitration under the ICC Rules. This means you waive the right to have disputes decided by a judge or jury, and you waive any right to participate in class actions or representative proceedings. You have the right to opt out of arbitration as described below.


1. Use of the Services

1.1 Registration Obligations

When registering to use the Services, you agree to provide truthful, accurate, and complete information about yourself. If you are under 18 years of age, you are not permitted to register for or use the Services under any circumstances.

1.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that takes place under your account. You agree to notify us immediately at support@miaaichat.com if you become aware of any unauthorised access to your account or any other security breach. We will not be liable for any loss or damage resulting from your failure to maintain the security of your account.

1.3 General Practices and Storage Limits

You acknowledge that we may establish general policies and limitations regarding use of the Services, including limits on the duration for which data or content is retained and the maximum storage allocated to your account. We have no responsibility or liability for the deletion of, or failure to store, any data or content. We reserve the right to terminate accounts that remain inactive for an extended period, and to modify these policies at any time at our sole discretion, with or without prior notice.

1.4 Email Communications

By creating an account, you consent to receive electronic communications from us at the email address you provide. These communications may include account-related notices, service updates, changes to our policies, and promotional materials relating to the platform.


2. Conditions of Use

2.1 User Conduct

In addition to complying with our Community Guidelines (incorporated into these Terms by reference), you agree to the following conditions when using the Services.

You are solely responsible for all content you submit to the Services. "Content you submit" means anything you post, transmit, or otherwise make available via the Services, including but not limited to text, images, audio, video, graphics, or any other data.

You agree not to submit any Content that:

(i) infringes any intellectual property or other proprietary rights of any third party; (ii) you do not have the right to submit; (iii) contains malicious code, viruses, or any software designed to disrupt, damage, or interfere with the functionality of any computer system, network, or telecommunications equipment; (iv) poses a privacy or security risk to any person; (v) constitutes unsolicited or unauthorised advertising, spam, chain letters, pyramid schemes, contests, or any other form of unsolicited commercial communication; (vi) is threatening, abusive, harassing, tortious, or excessively violent; (vii) is defamatory, libellous, or demonstrably false and intended to harm others; (viii) constitutes hate speech that demeans individuals or promotes discrimination or violence on the basis of race, ethnicity, gender, religion, age, disability, or other protected characteristics; (ix) is obscene; (x) constitutes sexual harassment; (xi) constitutes sexual exploitation or abuse of a minor, including the sharing of child sexual abuse material, grooming behaviour, or sexual extortion; (xii) glorifies self-harm, suicide, or eating disorders; (xiii) promotes terrorism or violent extremism; (xiv) furthers or facilitates criminal activity; (xv) involves the buying or selling of illegal substances; (xvi) facilitates fully automated decision-making that adversely affects a person's legal rights or creates a binding enforceable obligation; (xvii) purports to provide medical, legal, financial, or tax advice; (xviii) disrupts or interferes with the Services or any servers or networks connected to them; or (xix) is otherwise objectionable in our sole judgment, or that restricts or inhibits any other person from using or enjoying the Services, or that may expose us or our users to harm or liability.

You likewise agree not to, in connection with your use of the Services:

(i) violate any applicable law or regulation; (ii) impersonate any person or entity, or misrepresent your affiliation with any person or entity; (iii) solicit personal information from anyone under the age of 18; (iv) harvest or collect contact information from other users by any means for the purpose of sending unsolicited communications; (v) access or attempt to access information through any means not intentionally made available through the Services; (vi) lease, lend, sell, or sublicense any part of the Services; (vii) circumvent any technological measures designed to protect the Services; or (viii) reverse engineer, disassemble, decompile, or otherwise attempt to derive the source code of any part of the Services (except to the extent expressly permitted by applicable open source licences).

To the extent we offer voice or audio features, you additionally agree not to:

(i) submit voice recordings of third parties without their explicit consent; or (ii) use any voice feature to create deepfakes, impersonate others, spread misinformation, perpetrate fraud or scams, or otherwise engage in harmful conduct.

We reserve the right to investigate and take appropriate action against anyone who violates the above, including removing content, suspending or terminating accounts, and referring matters to law enforcement.


3. Intellectual Property Rights

3.1 Content You Submit

By submitting Content to the Services, you represent and warrant that you own all rights in that Content or have obtained all necessary permissions and clearances to submit it for the purposes described in these Terms.

You retain whatever ownership rights you had in your Content prior to submission. By submitting Content, you grant Apporia Mobile a non-exclusive, worldwide, royalty-free, fully paid-up, transferable, sublicensable, perpetual, and irrevocable licence to copy, display, upload, perform, distribute, transmit, make available, store, modify, exploit, commercialise, and otherwise use the Content for any purpose related to operating, improving, and providing the Services, in any form or medium, whether now known or developed in the future. This licence includes the right to make Content available to third parties with whom we have contractual relationships, and to disclose Content where we reasonably believe such disclosure is necessary or appropriate.

We may, but are not obligated to, access, review, screen, edit, or delete your Content at any time and for any reason.

3.2 Characters and Generated Content

When you create an AI character ("Character") using the Services in accordance with these Terms, you own all rights in that Character as between you and Apporia Mobile. You also own any text, images, audio, or video generated by that Character in response to your prompts ("Generations").

You grant Apporia Mobile a non-exclusive, worldwide, royalty-free, fully paid-up, transferable, sublicensable, perpetual, and irrevocable licence to copy, display, upload, perform, distribute, transmit, make available, store, modify, exploit, commercialise, and otherwise use the Character and all Generations for any purpose, including (i) enabling other users to interact with the Character and receive Generations, and (ii) promoting the Services on or off the platform.

When you interact with a Character created by Apporia Mobile or by another user, you own the Generations you elicit from that Character, but not the Character itself or any other Content or Generations belonging to us or third parties. The same licence to Apporia Mobile described above applies to those Generations.

3.3 Platform Content and Trademarks

You acknowledge that the Services contain content and features protected by copyright, patent, trademark, trade secret, and other applicable laws. You agree not to use data mining, bots, scraping tools, or other automated methods to extract data from the Services. If we block your access for any reason, you agree not to circumvent that block.

The "Apporia Mobile" name, "LovMia" branding, and related logos are trademarks of Apporia Mobile LP. Nothing in these Terms grants you any right to use our trademarks without our prior written permission. All goodwill arising from use of our trademarks accrues exclusively to us.

3.4 Third-Party Content

We are not liable for any content or materials originating from third parties, including Characters created by third-party users and resulting Generations. AI-generated content is by its nature unpredictable and may be inaccurate or offensive. You acknowledge that you bear all risks associated with reliance on any Content or Generations, and you agree not to rely on them for accuracy or completeness.

We have the right, but not the obligation, to remove any content from the Services that we consider to violate these Terms or to be objectionable, in our sole discretion.

Any feedback, suggestions, or ideas you provide to us regarding the Services are non-confidential, and we may use and share them for any purpose without compensation to you.

We may retain content and metadata as required by applicable law, and may disclose such content where required to do so by law, or in good faith where we believe disclosure is necessary to: (a) comply with legal obligations or government requests; (b) enforce these Terms; (c) respond to third-party rights claims; or (d) protect the safety and rights of Apporia Mobile, its users, or the public.


4. Copyright Complaints

We respect intellectual property rights and expect our users to do the same. If you believe your work has been copied in a manner that constitutes copyright infringement, please notify us in writing at support@miaaichat.com, including the following:

Counter-Notices: If your Content has been removed following a complaint and you believe the removal was in error, you may submit a written counter-notice to support@miaaichat.com including: your signature, identification of the removed content and its prior location, a statement that you believe removal was made in error, your contact details, and your consent to jurisdiction of the courts of England and Wales.

Upon receipt of a valid counter-notice, we will notify the original complainant and, unless legal proceedings are initiated, restore the content within 14 business days.

Repeat Infringers: We will terminate the accounts of users who are found to be repeat infringers, in accordance with applicable law and at our sole discretion.


5. Third-Party Websites and Services

The Services may contain links or provide access to third-party websites, applications, or resources. We have no control over such third-party services and are not responsible for them. You acknowledge that we will not be liable, directly or indirectly, for any damage or loss caused by your use of or reliance on any third-party content or services. Any dealings you have with third parties are solely between you and that third party.


6. Indemnity and Release

You agree to indemnify, defend, and hold harmless Apporia Mobile LP and its partners, officers, employees, and agents from and against any and all claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Services, your Content, or any breach of these Terms by you.


7. Disclaimer of Warranties

Your use of the Services is entirely at your own risk. The Services are provided on an "AS IS" and "AS AVAILABLE" basis. We expressly disclaim all warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that (i) the Services will meet your specific requirements, (ii) the Services will be uninterrupted, timely, secure, or error-free, or (iii) results obtained from use of the Services will be accurate or reliable.


8. Limitation of Liability

To the maximum extent permitted by applicable law, Apporia Mobile will not be liable for any indirect, incidental, special, consequential, or exemplary damages, including damages for loss of profits, goodwill, data, or other intangible losses, arising from: (i) your use of or inability to use the Services; (ii) your access to, creation of, or interaction with any Content, Character, or Generations; (iii) your sharing of Content, Characters, or Generations with third parties; (iv) unauthorised access to or alteration of your data; (v) statements or conduct of any third party using the Services; or (vi) any other matter relating to the Services.

In no event shall our total liability to you for all claims exceed the greater of: (i) £100 (one hundred pounds sterling); or (ii) the total amount you have paid to us in connection with the Services in the twelve months preceding the relevant claim.

If you are dissatisfied with any aspect of the Services or these Terms, your sole remedy is to discontinue use of the Services.


9. Dispute Resolution by Binding Arbitration

9.1 Agreement to Arbitrate

Any and all disputes, controversies, or claims arising out of or relating to these Terms, the Services, or any aspect of the relationship between you and Apporia Mobile shall be finally resolved by binding arbitration administered by the International Chamber of Commerce (ICC) under its Arbitration Rules in force at the time of submission, except that either party may bring an individual claim before a court of competent jurisdiction if the claim qualifies for a small claims procedure.

Nothing in this section prevents you from bringing matters to the attention of relevant regulatory authorities.

9.2 No Class Actions

All disputes must be brought on an individual basis only. Neither you nor Apporia Mobile may bring claims as a plaintiff or class member in any class action, collective, or representative proceeding. The arbitrator may not consolidate claims or preside over any representative or class proceeding, and may only award relief on an individual basis.

9.3 Pre-Arbitration Resolution

We strongly encourage you to contact us first at support@miaaichat.com to attempt an amicable resolution. If direct resolution is not achieved within 60 calendar days, either party may proceed to formal arbitration by sending a written Notice of Dispute by recorded delivery to:

The Notice must describe the nature of the claim and the specific relief sought.

9.4 Arbitration Procedures

Arbitration shall be conducted by a sole arbitrator in the English language, with the seat of arbitration in London, England. The arbitrator shall have authority to grant any relief that a court could grant under these Terms and applicable law. The arbitrator's award shall be in writing and shall be final and binding on the parties. For claims of £10,000 or less, the arbitration may be conducted entirely on the basis of written submissions, unless a hearing is otherwise required.

9.5 Costs

Arbitration costs shall be allocated in accordance with the ICC Rules, unless the arbitrator determines that the allocation should be adjusted in light of the circumstances.

9.6 Confidentiality

All aspects of the arbitration, including any ruling, decision, or award, shall be kept strictly confidential by both parties.

9.7 Severability

If any provision of this Section 9 (other than Section 9.2) is found invalid or unenforceable, it shall be replaced with a valid provision that most closely reflects the original intent. If Section 9.2 is found invalid or unenforceable in its entirety, this entire Section 9 shall be null and void, and the remaining provisions of these Terms shall continue in full force and effect.

9.8 Future Amendments

If we make any material change to this Section 9, you may reject such change by notifying us in writing within 30 calendar days of the change taking effect. In such case, arbitration shall be governed by the version of this section in effect when you first accepted these Terms.

9.9 Opt-Out

You may opt out of this arbitration agreement by sending a written notice to the address above or by emailing support@miaaichat.com within 30 calendar days of first accepting these Terms. Your notice must include your full name, the email address associated with your account, and a clear statement of your wish to opt out. Opting out will not affect any other terms of your agreement with us.


10. Termination

We reserve the right, at our sole discretion, to suspend or terminate your account or access to the Services at any time and for any reason, including if we believe you have violated or acted contrary to the spirit of these Terms. We may also discontinue the Services, in whole or in part, at any time with or without notice.

Termination of your account does not terminate the licences you have granted to us with respect to your Content. We will not be liable to you or any third party for any termination of your access to the Services.


11. General Provisions

Entire Agreement. These Terms, together with our Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and Apporia Mobile regarding the Services and supersede all prior agreements.

Governing Law and Jurisdiction. These Terms are governed by the laws of England and Wales. To the extent any dispute is not subject to arbitration under Section 9, you and Apporia Mobile agree to submit to the exclusive jurisdiction of the courts of England and Wales.

Severability. If any provision of these Terms is found by a competent court to be invalid or unenforceable, the remaining provisions will continue in full force and effect, and the invalid provision will be replaced by one that most closely reflects the original intention.

No Waiver. Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Time Limitation on Claims. Any claim or cause of action arising out of or related to use of the Services or these Terms must be brought within one year of the date on which it arose, or it will be permanently barred.

Assignment. You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may freely assign or transfer these Terms, in whole or in part, without restriction.

Notices. We may send notices to you by email or by posting them on the Services. Notices to us must be sent to the address in Section 9.3 or by email to support@miaaichat.com.


12. Changes to These Terms

We reserve the right to modify these Terms at any time at our sole discretion. If we make changes, we will update the "Last Modified" date at the top of this page. Changes will take effect no earlier than 14 days after they are posted, except where changes address new features or are required for legal compliance, in which case they will take effect immediately. Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms.
